By submitting work to the NEWH TopID Beyond competition, I hereby agree to the following terms.

  1. Definitions.

NEWH.  Collectively: NEWH, Inc.; Network of Executive Women in Hospitality UK Limited; Network of Executive Women in Hospitality Canada, Inc.; and their respective Directors, Chapters, Affiliates, Members, Agents and Subcontractors.

Submission.  Any graphical depiction including designs, drawings, photographs, videos, slide decks, recordings, reports, surveys or related materials in any medium or format whatsoever, representing prospective design innovations in the Hospitality, Foodservice, Senior Living and related industries.

Submitter.  Any person, group of persons or entity making a Submission to NEWH for consideration in the TopID Beyond competition.

  1. Property Rights. Submitter confirms that they are the owner or licensee of all intellectual property and moral rights in the Submission.  NEWH is not responsible for verifying any intellectual property rights relating to the Submission. It is the sole responsibility of Submitter to secure protection of intellectual property rights in the Submission, and proof of any registration or application for registration of such rights should be cited in the Submission.  All intellectual property rights in the Submission shall remain, as between Submitter and NEWH, the property of Submitter except as expressly stated in this Agreement.
  2. Grant of Non-Exclusive License. Submitter hereby grants to NEWH a perpetual, non-exclusive, non-transferable, non-assignable, royalty-free license and/or sublicense to use, display, and publish any Submission and related intellectual property owned by or licensed to Submitter (“Licensed IP”), which grant does not require any payment by Submitter of any royalties or additional license fees or require any additional consent by any third party, solely in connection with the NEWH TopID Beyond competition. Submitter represents and warrants that the Licensed IP does not violate or infringe any patent, copyright, trademark, trade secret, or other intellectual property or contractual right of any third party.  NEWH agrees that its use of the Licensed IP shall be limited to TopID Beyond competition and related advertising, promotion and publication, and that NEWH will not sell, rebrand or otherwise engage in any commercial transaction with regard to the Licensed IP with any third party. 
  3. Intellectual Property Indemnity. Submitter shall indemnify, defend and hold NEWH harmless against all liabilities, damages, losses, costs or expenses (including, without limitation, attorneys’ fees and expenses) arising out of any suit, claim, or proceeding alleging that the Licensed IP violates or infringes any intellectual property rights of third parties.  For avoidance of doubt, where the Submission is made by a team, the liability of each team member under this provision shall be joint and several. 
  4. Consent.  Submitter hereby consents to the use by NEWH of her/his/their/its personal name, photo, business or place of employment (or if Submitter is a student, the student’s school) and any professional designations, all solely in conjunction with the TopID competition.
